Terms and Conditions

A storefront you own, on the AWS account you already have.

These terms cover a one-time purchase of a FatLeon Commerce license on fatleon.com. Paddle.com is the merchant of record. Delivery is a source ZIP. A full refund may be requested within 30 days of order completion. The license file governs use of the source.

1. Introduction

These Terms and Conditions (the “Terms”) govern purchases of FatLeon Commerce licenses made through fatleon.com (the “Website”).

The Website offers commercial licenses for FatLeon Commerce, a proprietary source code product intended for authorized development, deployment, and operation in accordance with the applicable license documentation.

For purposes of these Terms, “FatLeon,” “we,” “us,” and “our” refer to the relevant party offering the product or providing the source code, as identified in the applicable transaction and licensing documentation. “You” and “your” refer to the individual or legal entity placing an order or purchasing a license through the Website.

These Terms explain the principal conditions associated with purchasing a license, including product selection, pricing, payment processing, delivery, refunds, deployment responsibilities, and the relationship between the purchase transaction and the applicable software license.

By placing an order, submitting payment, or otherwise completing a purchase through the Website, you acknowledge that you have had the opportunity to review these Terms and the relevant product information.

Your purchase is also subject to the applicable license documentation, the Terms of Service, the Refund Policy, the Privacy Policy, and any other applicable terms presented during checkout or incorporated into the transaction.

Nothing in these Terms is intended to exclude, restrict, or override any mandatory legal right that cannot lawfully be excluded or restricted.

2. Products Offered for Sale

FatLeon offers two principal license options for FatLeon Commerce:

Both products relate to the FatLeon Commerce codebase but provide different licensing permissions and are intended for different types of purchasers and business arrangements.

The Standard License is generally intended for brands and in-house teams operating their own stores. The Agency License is intended for freelancers, studios, integrators, and other professionals who build or operate stores for clients, subject to the applicable license restrictions.

The scope of the rights granted under each license is determined by the relevant license documentation and the license tier purchased.

Purchasing one license tier does not automatically grant the permissions associated with the other tier. Purchasers are responsible for selecting the license that corresponds to their intended use.

Before placing an order, you should review the relevant product page and license information to determine whether the selected license is appropriate for your business model, deployment arrangements, and intended use of the source code.

If you are uncertain which license you require, you may contact info@fatleon.com before completing your purchase.

3. Pricing and Purchase Price

The purchase price is the price displayed on the relevant product page at the time of purchase, subject to the final amount and applicable terms shown during checkout.

The applicable product pages provide the pricing information for the Standard and Agency licenses. The license file delivered with the purchased source code identifies the license and its permitted use; it does not independently establish or replace the purchase price.

Before submitting payment, purchasers should review the selected product, license tier, price, and any applicable charges displayed during checkout.

The final transaction amount may reflect applicable taxes or other amounts presented during the checkout process, as determined in accordance with the applicable transaction arrangements and legal requirements.

If a price, product description, or other purchase detail appears inconsistent before an order is completed, you should resolve the discrepancy before proceeding with payment.

Nothing in these Terms guarantees that a displayed price will remain unchanged for future purchases. Prices and product offerings may be updated from time to time, subject to applicable law and the terms governing transactions already completed.

4. One-Time Payment and Perpetual License

FatLeon Commerce licenses are sold on a one-time payment basis unless the relevant product page or a separate written agreement expressly states otherwise.

The purchase does not ordinarily require a recurring subscription payment solely to maintain the perpetual license granted for the purchased product.

Subject to compliance with the applicable license documentation, the license is perpetual rather than limited to a fixed subscription term.

However, a perpetual license is not an unrestricted right to use or distribute the source code. Its scope remains subject to the purchased license tier, the applicable license file, and the restrictions governing authorized use.

A perpetual license may be terminated in accordance with the applicable licensing terms in the event of a qualifying breach.

The one-time purchase price does not automatically include unrelated products, future standalone software releases, consulting services, hosting services, maintenance services, or other services not expressly included in the purchase.

Any additional entitlement must be established by the applicable product description, license documentation, or separate written agreement.

5. Merchant of Record and Payment Processing

Purchases made through the Website are processed by Paddle.com, which acts as the merchant of record for the relevant transactions.

Paddle handles the applicable checkout and payment processing arrangements, including transaction administration and the provision of purchase receipts in accordance with its procedures and applicable terms.

FatLeon provides the relevant digital product by delivering the source code ZIP archive in accordance with the applicable order and delivery arrangements.

The roles of the merchant of record and the software licensor or product provider are distinct. Paddle's role in processing a transaction does not, by itself, transfer ownership of the FatLeon Commerce source code or expand the rights granted under the software license.

Purchasers should retain the receipt issued through Paddle because it provides important information for identifying the transaction.

For questions about a payment, receipt, or transaction record, purchasers should first consult the relevant Paddle receipt and any available transaction support options.

For questions concerning the product, license selection, or the relationship between a purchased SKU and the delivered source code, purchasers may contact FatLeon at info@fatleon.com.

Checkout transactions are also subject to Paddle's applicable buyer terms:

https://www.paddle.com/legal/checkout-buyer-terms

6. Order Confirmation and Purchase Records

After completing a purchase, you should retain the transaction receipt and any associated purchase information supplied through Paddle.

The receipt is the primary reference for identifying the completed order, including the relevant SKU and other transaction details recorded for that purchase.

The license file supplied with the source code identifies the applicable licensing terms and permissions. Purchasers should retain that file alongside the receipt so that the purchased product and its license can be identified when needed.

If the SKU shown on the receipt does not appear to correspond to the delivered license file, or if you believe that the wrong product has been supplied, please contact info@fatleon.com and include the relevant purchase information.

You should not assume that a purchase is associated with a different license tier merely because another license is available on the Website.

The applicable transaction receipt, product information, and license file should be reviewed together when identifying the rights associated with a particular purchase.

7. Digital Delivery

FatLeon Commerce is delivered as a digital product rather than as a physical item shipped through a postal or courier service.

The delivery method involves providing the source code ZIP archive associated with the purchased license.

There is ordinarily no physical package, shipping label, warehouse dispatch, or postal delivery involved in the transaction.

The delivery arrangements are described further in the following pages:

Purchasers should use the relevant order information and delivery instructions to access the purchased materials.

If a download does not arrive, cannot be accessed, or appears to contain an incorrect file, please contact info@fatleon.com and provide the Paddle receipt.

When reporting a delivery problem, include sufficient information to identify the relevant order and explain the issue encountered.

FatLeon may review the information provided and assist in identifying the applicable delivery or license issue.

Nothing in this section guarantees a particular delivery time unless that time is expressly stated in the applicable order terms or otherwise required by law.

8. Digital Product and Source Code Characteristics

FatLeon Commerce is proprietary source code provided under a commercial license.

The purchaser receives the right to use the source code within the scope of the purchased license. The purchase does not constitute a transfer of ownership of the underlying software or unrestricted permission to reproduce, redistribute, sublicense, or resell it.

The source code may require configuration, integration, modification, deployment, or other technical work depending on the purchaser's intended use and environment.

Purchasers should review the available product information and licensing documentation before purchase and consider whether the product is appropriate for their technical requirements.

The source code is intended to be used within the boundaries of the applicable license. A purchaser's ability to access or modify the files does not authorize activities prohibited by the license.

The detailed rights and restrictions governing use of the source code are described in the applicable license file and the Terms of Service:

https://fatleon.com/post/terms-of-service

9. Relationship Between These Terms and Other Documents

Several documents may apply to a FatLeon Commerce purchase. Each addresses a different aspect of the transaction or subsequent use of the software.

9.1 License File

The license file included in the purchased ZIP archive governs the specific permissions and restrictions applicable to the source code.

Where a question concerns whether a particular activity is authorized, the license file is the primary reference for the applicable license scope, subject to mandatory law.

9.2 Terms of Service

The Terms of Service summarize the licensing framework, including the differences between the Standard and Agency licenses, authorized store usage, client handoff, prohibited redistribution, and license termination.

They should be read together with the operative license file:

https://fatleon.com/post/terms-of-service

9.3 Refund Policy

The Refund Policy describes the applicable refund period and procedures for submitting a refund request.

It should be read alongside these Terms and the applicable Paddle transaction terms:

https://fatleon.com/post/return-policy

9.4 Privacy Policy

The Privacy Policy explains how information is handled in connection with the Website and its related purchase and support processes:

https://fatleon.com/post/privacy-policy

9.5 Quality Guarantee

Information concerning product quality and related expectations is provided on the Quality Guarantee page:

https://fatleon.com/post/quality-guarantee

9.6 Orders and Shipping Information

The applicable digital delivery arrangements are described on the Orders & Shipping and Shipping Policy pages:

https://fatleon.com/post/orders-shipping

https://fatleon.com/post/shipping-policy

These documents should be interpreted consistently where possible. If provisions conflict, the applicable document and mandatory legal requirements governing the particular issue will determine the outcome.

In particular, the license file governs permitted use of the source code, while the applicable transaction terms and Paddle's buyer terms govern the payment and refund processes within their respective scopes. The purchase receipt identifies the transaction details recorded for the order.

10. Purchaser Responsibilities Before Deployment

Purchasing a license does not automatically deploy, configure, or operate an online store for you.

After receiving the source code, you are responsible for determining how it will be deployed and operated within the permissions granted by your license.

Depending on your intended implementation, this may involve preparing infrastructure, configuring application settings, connecting third-party services, managing credentials, and carrying out appropriate testing before launch.

Purchasers should ensure that their intended deployment complies with the applicable license tier and does not expose proprietary source code to unauthorized persons.

The source code may be modified within the scope of the license, but modifications must not be used to circumvent the license restrictions.

Where an implementation involves employees, contractors, clients, or other contributors, the purchaser is responsible for ensuring that access is granted appropriately and that the relevant licensing conditions are respected.

The purchaser should also maintain suitable backups and take reasonable precautions when making changes to a production environment.

11. Hosting and Infrastructure

Purchasers are responsible for their own hosting arrangements and infrastructure expenses.

Under the Standard License, hosting is expected to be provided through the purchaser's own AWS infrastructure, as described in the applicable license information.

Under the Agency License, hosting may be provided through the purchaser's infrastructure or the relevant client's infrastructure, subject to the license terms.

The purchaser or relevant client is responsible for the costs charged by AWS or any other hosting provider used for the deployment.

Such costs may include infrastructure usage, storage, bandwidth, databases, domain registration, email delivery, monitoring, backups, and other services selected by the purchaser.

These expenses are separate from the one-time FatLeon Commerce license purchase unless expressly included in a separate written agreement.

FatLeon does not automatically manage the purchaser's cloud account, configure the purchaser's infrastructure, or assume responsibility for the purchaser's ongoing hosting bills.

The purchaser is responsible for reviewing the pricing, terms, and operational requirements of the relevant infrastructure provider.

12. Store Configuration and Third-Party Services

After deployment, the purchaser is responsible for configuring the store for its intended operation.

Depending on the implementation, this may include payment integrations, email delivery, currency settings, tax configuration, domain settings, and other administrative or operational features.

The purchaser must ensure that the store is configured appropriately for its business, customers, and applicable legal obligations.

Third-party services may have separate account requirements, technical limitations, usage charges, and contractual terms.

Purchasing FatLeon Commerce does not automatically create or fund third-party accounts, establish merchant accounts, provide API credentials, or pay fees charged by independent service providers.

The purchaser should verify that all required integrations are properly configured and tested before using the store in a live commercial environment.

Where a store is operated on behalf of a client under an Agency License, the purchaser and client should agree on responsibility for these tasks, including account ownership, ongoing configuration, service charges, and maintenance.

13. Operation After Deployment

FatLeon provides the licensed source code in accordance with the relevant purchase and license terms. Unless separately agreed in writing, FatLeon does not operate the purchaser's deployed store on the purchaser's behalf.

Once the software has been deployed, the purchaser or relevant store operator is responsible for its day-to-day operation.

This responsibility may include maintaining the hosting environment, managing store settings, handling customer transactions, configuring payment providers, administering user accounts, monitoring service availability, and maintaining appropriate security controls.

The purchaser is also responsible for the commercial activities conducted through the deployed store, including its own customer communications, business policies, and legal compliance.

If the store collects personal information from its customers, the store operator must determine its own privacy and data protection obligations and provide an appropriate privacy notice where required by law.

The FatLeon sales Website's privacy policy does not automatically become the privacy policy of a store deployed by a purchaser.

Similarly, the license purchase does not automatically establish an ongoing support, maintenance, hosting, or store-management agreement between FatLeon and the purchaser.

Any additional service commitments must be expressly agreed upon where applicable.

14. Quality and Product Expectations

FatLeon Commerce is provided as source code for use within the scope of the purchased license.

The product's characteristics, documented features, and applicable quality-related commitments should be assessed by reference to the relevant product information and Quality Guarantee page:

https://fatleon.com/post/quality-guarantee

Purchasers should review the available information and determine whether the software is appropriate for their intended requirements.

The fact that a particular deployment requires additional configuration or that a purchaser wishes to implement a feature outside the documented scope does not, by itself, establish that the delivered product is defective.

Likewise, compatibility may depend on the purchaser's infrastructure, third-party services, software versions, integrations, and modifications.

Where a purchaser encounters an issue that appears to involve an incorrect or incomplete delivery, the purchaser should contact FatLeon with the relevant order information and a description of the problem.

Nothing in this section is intended to exclude any express warranty or mandatory statutory protection that applies under the relevant law.

15. Refunds and Cancellation

You may request a full refund within thirty (30) days of the order completion date, subject to the applicable Refund Policy and mandatory legal requirements.

The thirty-day period is calculated from the order completion date, rather than automatically beginning when you first download, open, install, or use the source code.

Paddle acts as the merchant of record and handles the applicable refund process in accordance with its procedures and requirements.

To request a refund, purchasers should follow the relevant instructions provided in the Paddle receipt or contact FatLeon at info@fatleon.com with the transaction details.

The Refund Policy is available at:

https://fatleon.com/post/return-policy

Because the purchased product is delivered digitally, a refund does not ordinarily involve mailing a physical product back to FatLeon.

Purchasers should submit any request within the applicable refund period and provide sufficient information to identify the transaction.

After the thirty-day period has expired, a change of mind is not refunded under the general policy, except where a refund or other remedy is required by applicable law or otherwise permitted under the applicable transaction terms.

Nothing in these Terms is intended to remove a mandatory cancellation, refund, or other consumer right that cannot lawfully be waived.

16. Refunds and License Rights

A purchase grants the rights expressly provided under the applicable license documentation.

A refund request is handled under the Refund Policy and the applicable transaction procedures. Submitting a request does not, by itself, create additional rights to use the source code or expand the purchased license.

Where a refund is completed, any consequences for the associated license and continued use of the source code must be determined in accordance with the applicable license terms, transaction arrangements, and mandatory law.

Purchasers should not assume that a refunded purchase continues to authorize unrestricted use of the source code.

Likewise, these Terms do not independently establish a new license termination procedure beyond the provisions contained in the applicable license documentation.

17. License Transfer and Assignment

The license granted for a purchase is associated with the buyer and license information identified in the applicable transaction and licensing documentation.

The license may not be transferred, assigned, sold, or otherwise reassigned to another person or company without the written consent required by the applicable license terms.

The permitted handoff of an individual store project under an Agency License is governed by the specific client handoff provisions. Such a handoff does not create a general right to transfer the license itself.

Purchasers should review the license documentation before changing the legal entity or business arrangement under which the license is used.

A change in ownership, a corporate restructuring, a client relationship, or a change in the intended commercial use does not automatically override the applicable license restrictions.

Where a proposed transfer is necessary, the purchaser should obtain the relevant written authorization before proceeding.

18. Prohibited Use

Purchasers must comply with the applicable FatLeon Commerce license and may not use the purchase as authorization to distribute the proprietary source code beyond the permitted scope.

Unless expressly authorized in writing, prohibited activities include:

  • Reselling, sublicensing, or redistributing the source code as a standalone product.
  • Publishing the proprietary source code in a public repository or unrestricted file-sharing service.
  • Offering the source code as an unauthorized template, starter kit, or competing commercial product.
  • Using the license to provide a multi-tenant SaaS or site builder that distributes substantially the same product without the required authorization.
  • Transferring the license itself to another person or legal entity without the required written consent.
  • Using technical or contractual arrangements to circumvent the restrictions in the applicable license.

The detailed scope of these restrictions is determined by the applicable license file and the Terms of Service.

Nothing in this section prohibits activities that are expressly authorized under the purchased license or that cannot lawfully be restricted.

19. Taxes and Financial Responsibilities

Any applicable taxes or other charges presented during checkout are handled in accordance with the transaction arrangements and applicable legal requirements.

Paddle administers the payment transaction as merchant of record, including applicable checkout-related processes within its role.

Purchasers remain responsible for their own business expenses and obligations associated with deploying and operating a store, including hosting costs and fees charged by third-party providers.

Where a purchaser operates a commercial store, the purchaser is responsible for determining its own tax, accounting, reporting, and other business obligations, subject to applicable law.

Purchasing a FatLeon Commerce license does not automatically establish that the purchaser's subsequent business activities comply with all legal or tax requirements in every jurisdiction.

The purchaser should obtain independent professional advice where necessary to determine the obligations applicable to its particular business.

20. Privacy and Personal Information

Information associated with purchases, payment processing, and customer inquiries is handled in accordance with the relevant privacy notices and applicable legal requirements.

Paddle processes transaction and payment information in connection with its role as merchant of record. FatLeon's handling of information in connection with the Website is described in the Privacy Policy:

https://fatleon.com/post/privacy-policy

Purchasers should review the relevant privacy information before completing a transaction.

When contacting FatLeon about an order, purchasers should provide the receipt or transaction reference where reasonably necessary to identify the purchase.

Please do not send passwords, full payment card details, or other unnecessary sensitive information through email.

21. Third-Party Services and External Providers

The operation of FatLeon Commerce may involve third-party hosting providers, payment integrations, email services, APIs, libraries, or other external services.

Each third-party provider may have its own terms, privacy practices, service limitations, fees, and operational requirements.

FatLeon does not automatically assume responsibility for the independent operation or availability of services provided by third parties.

Purchasers are responsible for reviewing the terms applicable to the external services they select and for maintaining any required accounts, subscriptions, credentials, and permissions.

Where an external service is unavailable, changes its policies, modifies its pricing, or experiences an interruption, the consequences for the purchaser's deployment may depend on that provider's service terms and the purchaser's implementation.

Nothing in this section excludes responsibility that may arise under an express written commitment or applicable mandatory law.

22. Limitation of Liability

To the extent permitted by applicable law, responsibility arising from the purchase, delivery, licensing, deployment, or use of FatLeon Commerce is governed by the applicable license documentation and the terms governing the relevant transaction.

Purchasers are responsible for determining whether the product is appropriate for their intended use and for managing their own hosting infrastructure, store configuration, integrations, backups, and operational security.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

Any applicable exclusion, limitation, or allocation of liability must be interpreted consistently with the operative license file, the transaction terms, and mandatory legal requirements.

These Terms do not create a blanket exemption from liability for every possible event or circumstance.

23. Changes to Products and These Terms

FatLeon may update product descriptions, pricing, website content, or these Terms from time to time.

The price applicable to a completed purchase is determined by the transaction terms and purchase information governing that order.

Changes to a product page do not automatically alter the SKU or license documentation associated with a previously completed purchase.

The rights granted under an existing license remain subject to the applicable license documentation and mandatory law. A change to this summary should not be interpreted as automatically modifying an existing license where a separate agreement or other legal requirement applies.

Purchasers are encouraged to review the relevant product page and applicable terms before making a new purchase.

24. Governing Law and Mandatory Rights

The interpretation of these Terms is subject to the laws and mandatory legal requirements applicable to the relevant transaction.

The FatLeon Commerce license file identifies the governing law for the software license, including the law of the Hong Kong Special Administrative Region, subject to mandatory consumer protections that cannot be waived.

The governing law applicable to a particular purchase or issue must be determined in accordance with the relevant agreements and applicable law.

Nothing in these Terms is intended to deprive a consumer of a mandatory protection, refund right, or other remedy that must remain available under applicable law.

If a provision of these Terms is found to be unenforceable, the remaining provisions will continue to apply to the extent permitted by law, unless doing so would conflict with a mandatory legal requirement.

25. Contact and Order Support

For questions about a completed purchase, purchasers should first consult the Paddle receipt and the relevant order information.

For questions concerning product selection, license identification, source code delivery, or the relationship between the purchased SKU and the delivered license, please contact:

Email: info@fatleon.com

You may also visit the Contact Us page:

https://fatleon.com/post/contact-us

When submitting an inquiry, please include the relevant transaction reference and explain the issue clearly, where reasonably possible.

For payment processing and refund administration, purchasers should follow the applicable Paddle instructions and the Refund Policy.
