A summary of FatLeon Commerce License v2.2. The license file in your zip, identified by the SKU on your receipt, governs use. If this summary and that file disagree, the file governs.
FatLeon Commerce License v2.2
Last Updated: October 23, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern the purchase, licensing, access, modification, deployment, maintenance, and use of FatLeon Commerce source code and related digital materials made available through fatleon.com (the “Website”).
FatLeon Commerce is a proprietary software product developed and distributed by FatLeon. It is offered under a commercial licensing model that grants specified usage rights to purchasers in accordance with the applicable license tier and license file.
For purposes of these Terms, “FatLeon,” “we,” “us,” and “our” refer to the relevant party operating the Website or offering the applicable product, as identified in the relevant transaction and license documentation. “You” and “your” refer to the individual or legal entity purchasing, receiving, accessing, or using a FatLeon Commerce license.
By purchasing, downloading, accessing, modifying, deploying, or otherwise using FatLeon Commerce, you acknowledge that you have had the opportunity to review these Terms and the applicable license information. Your use of the software is subject to the license granted for the relevant purchase, including the applicable license tier, SKU, restrictions, and conditions.
If you purchase a license on behalf of a company, agency, studio, or other legal entity, you represent that you are authorized to act on behalf of that entity and to accept the applicable terms for that purchase. References to “you” may include that entity where appropriate.
If you do not agree to the applicable license terms, you must not use the software beyond any access or review permitted by applicable law.
These Terms are intended to explain the general commercial and operational conditions governing FatLeon Commerce licenses. They should be read together with the specific license file delivered with the purchased source code, the relevant product page, the applicable refund policy, the privacy notice, and any mandatory legal requirements governing the transaction.
2. Relationship Between These Terms and the License File
FatLeon Commerce licenses are issued under a versioned licensing framework. The license file included in the purchased ZIP archive contains the specific licensing provisions applicable to the purchased product and SKU.
This page summarizes the principal features of FatLeon Commerce License v2.2 to help prospective purchasers understand the licensing model before completing a transaction. It is not intended to reproduce every provision contained in the license file or replace the operative license documentation.
If this summary and the applicable license file conflict, the license file governs the permitted use of the purchased software.
The relevant SKU shown on your purchase receipt should correspond to the license file provided with the purchased materials. Purchasers are responsible for retaining the receipt and license file so that the applicable purchase and authorization can be identified later.
The seller or licensor identified in the applicable purchase and license documentation is the relevant party granting the software license. The party handling payment processing may be different from the party responsible for the underlying intellectual property rights.
Unless expressly stated otherwise in the applicable license documentation, purchasing a license does not transfer ownership of the FatLeon Commerce source code or any intellectual property rights in the software.
If a purchaser believes that the delivered license file does not correspond to the purchased SKU, the purchaser should contact FatLeon at info@fatleon.com and provide the relevant transaction receipt.
3. Nature of FatLeon Commerce
FatLeon Commerce is proprietary source code. It is not an open-source software product merely because its source code is delivered to the purchaser.
The purchase of a FatLeon Commerce license grants only the rights expressly permitted under the applicable license tier and license documentation. It does not place the software in the public domain or authorize unrestricted copying, distribution, publication, resale, sublicensing, or commercial exploitation of the source code.
Unless a separate written agreement expressly provides otherwise, all rights not expressly granted to the purchaser remain reserved to the applicable rights holder.
The fact that the source code can be inspected, modified, stored in a private repository, or deployed on infrastructure controlled by the purchaser does not mean that the source code may be distributed to the public or used to create an unauthorized competing product.
Likewise, a purchaser's ability to modify the software does not grant ownership of the original FatLeon Commerce source code, its underlying structure, or the intellectual property rights associated with it.
Purchasers must distinguish between their own independent work, customizations created for their projects, and the underlying proprietary software supplied under the FatLeon Commerce license.
The rights associated with custom code, third-party components, and other independently licensed materials may be governed by separate agreements or license terms. Nothing in these Terms automatically transfers rights in such materials that FatLeon does not own or have authority to grant.
4. Orders, Pricing, and Payment Processing
Orders for FatLeon Commerce licenses are processed through Paddle.com, which acts as the merchant of record for transactions made through the Website.
Paddle handles the applicable checkout and payment transaction in accordance with its own terms and procedures. Customer service inquiries relating to payment processing, transaction records, and refund administration may also be handled through Paddle's applicable support and transaction processes.
The applicable purchase price is the price displayed on the relevant product page at the time of purchase, subject to the final amount and terms presented during checkout.
The principal license options are:
- Standard License: https://fatleon.com/product/fatleon-standard-license
- Agency License: https://fatleon.com/product/fatleon-agency-license
FatLeon Commerce licenses are sold on a one-time payment basis unless the applicable product page or a separate written agreement expressly states otherwise.
A one-time payment grants the license rights described in the applicable license documentation. It does not automatically include future products, separate licenses, additional commercial rights, consulting services, hosting services, maintenance services, or other benefits that are not expressly included in the purchase.
By completing an order, you acknowledge that the transaction is subject to these Terms, the applicable license documentation, the Refund Policy, the Privacy Policy, and Paddle's applicable buyer terms.
For questions about selecting the appropriate license tier before purchase, you may contact info@fatleon.com.
Purchasers should review the selected product and SKU carefully before submitting payment, particularly where the distinction between internal stores and client stores affects the license required.
5. One-Time License and Duration
Subject to compliance with the applicable license terms, both the Standard and Agency licenses grant perpetual usage rights for the scope expressly authorized by the purchased license.
“Perpetual” means that the license is not ordinarily subject to a recurring subscription fee or a scheduled expiration date solely because time has passed.
However, a perpetual license is not an unconditional or unrestricted right to use the software. Its continued validity remains subject to the license terms, including the restrictions on redistribution, transfer, unauthorized sublicensing, and other prohibited activities.
A perpetual license may be terminated in accordance with the termination provisions of the applicable license documentation, including the provisions addressing material breaches.
Purchasing a license also does not guarantee that every future version, update, feature, extension, or separate product will be included. The scope of any additional materials or updates depends on the applicable product description and any separate written commitment.
Unless expressly agreed otherwise in writing, the purchaser may not interpret the one-time payment as granting unrestricted rights to all future FatLeon products or unrelated software offerings.
6. License Tiers and Scope of Authorization
FatLeon Commerce is offered under two principal licensing options: Standard and Agency.
The rights granted under each option differ primarily in relation to the type of purchaser, the stores that may be operated, and whether the purchaser may transfer a project to an end client.
The license tier selected at checkout determines the authorized scope of use. A purchaser must not rely on permissions associated with a different license tier unless the purchaser has acquired that tier or received separate written authorization.
6.1 Standard License
The Standard License is intended for brands, businesses, and in-house teams operating their own stores.
Subject to the applicable license file, a Standard License permits the purchaser to operate an unlimited number of stores that the purchaser or the licensed organization operates for its own business.
The Standard License does not authorize the purchaser to use the license as a basis for operating stores on behalf of unrelated clients under a freelance, studio, agency, or integration arrangement.
In particular, a purchaser may not treat a Standard License as a general-purpose license for delivering FatLeon Commerce source code to customers or establishing stores for third parties.
Where a purchaser provides development services to another business, the purchaser must ensure that the applicable license expressly permits the intended use. The fact that a purchaser owns a development company, employs a technical team, or performs implementation work does not independently expand the scope of a Standard License.
The Standard License is perpetual, subject to the applicable license terms, and does not permit the purchaser to transfer the license itself to another person or company without prior written consent.
6.2 Agency License
The Agency License is intended for freelancers, development studios, agencies, integrators, and other professionals who build or operate stores for their clients.
Subject to the applicable license file, an Agency License permits the purchaser to operate an unlimited number of stores, including stores developed or managed for clients.
The Agency License also permits the purchaser to hand over an individual store project to the relevant end client in accordance with the handoff provisions described in these Terms and the applicable license file.
This authorization is limited to the scope expressly granted. It does not create a general right to redistribute FatLeon Commerce source code, sell the source code as a standalone product, or grant unrestricted licenses to third parties.
Each client handoff must relate to an authorized store project. A client receiving a project does not thereby obtain the right to use the transferred source code as a basis for unrelated stores, a separate software distribution business, a competing product, or a multi-tenant platform.
The Agency License is also perpetual, subject to the applicable license terms. The license itself may not be transferred to another person or company without prior written consent.
6.3 Choosing the Appropriate License
Purchasers are responsible for selecting a license that matches their intended business model and deployment arrangements.
A business operating its own stores may generally consider the Standard License. A freelancer, agency, studio, or integrator building stores for external clients should consider the Agency License.
Where the intended use involves both internal business operations and work for external clients, the purchaser should review the license documentation carefully and contact FatLeon before purchase if the scope of authorization is unclear.
A purchaser must not assume that an existing license automatically covers a new category of use merely because the software has already been paid for.
If the proposed use falls outside the scope of the purchased license, separate written authorization or an appropriately scoped license may be required.
7. Authorized Use of the Source Code
Within the scope of the applicable license, purchasers may modify FatLeon Commerce source code to suit their technical requirements and business needs.
Authorized activities include modifying the source code, integrating permitted changes into a project, maintaining a private Git repository, using AI-assisted development tools, and involving the purchaser's authorized team members in development and maintenance.
These permissions are subject to the following general conditions:
- Access to the source code must remain limited to individuals authorized under the applicable license.
- Private repositories and development environments must not expose the source code to unauthorized persons.
- Team members and contractors must receive access only to the extent reasonably necessary for authorized development, operation, or maintenance.
- Modifications must not be used to circumvent the license restrictions or facilitate unauthorized redistribution.
- Any public-facing deployment must be structured so that it does not expose the proprietary source code in violation of the license.
The use of AI tools does not independently expand the rights granted under the license. Purchasers may use such tools for authorized development activities, but they remain responsible for protecting proprietary source code and complying with the applicable restrictions.
A purchaser may not rely on the fact that code has been modified, renamed, refactored, partially rewritten, or processed using an AI system as a justification for distributing a substantially equivalent unauthorized copy of the product.
Likewise, the creation of derivative code does not automatically remove the restrictions applicable to the underlying proprietary materials.
8. Stores, Domains, Staging, and Deployment
Both the Standard and Agency licenses permit unlimited stores within the scope authorized by the applicable license tier.
A store means an individual store project or deployment authorized under the license, rather than an unrestricted right to redistribute the underlying software to any number of unrelated parties.
For a store already operated under a valid license, changing its domain name does not, by itself, require the purchaser to acquire another license.
The license also includes staging environments for a store that the purchaser is already authorized to operate. Such environments may be used for appropriate development, testing, debugging, and deployment preparation.
A staging environment is not an independent authorization to establish a new, unrelated store or to provide another party with an additional unlicensed deployment.
Purchasers may use their own development and hosting infrastructure, subject to the hosting and operational arrangements applicable to their license tier.
The use of multiple domains, subdomains, test environments, deployment pipelines, or private repositories does not override the restrictions governing client stores, transfers, sublicensing, or redistribution.
If a proposed deployment arrangement materially differs from the intended operation of an authorized store, the purchaser should seek clarification before implementing it.
9. Hosting and Operational Responsibilities
Under the Standard License, hosting is the purchaser's responsibility and is expected to be provided through the purchaser's own AWS infrastructure, as described in the applicable license information.
Under the Agency License, hosting may be provided through the purchaser's infrastructure or the end client's infrastructure, as permitted by the applicable license.
Regardless of the hosting arrangement, responsibility for operating the relevant store remains with the purchaser or the relevant client, as applicable.
The hosting authorization does not mean that FatLeon provides, manages, or guarantees the availability of the purchaser's infrastructure, AWS account, domain registrar, DNS configuration, database, third-party API, or other external service.
Purchasers and clients are responsible for maintaining appropriate operational controls, access permissions, backups, security configurations, and deployment practices for their own environments.
Where an Agency License project is handed over to a client, the parties should clearly establish who is responsible for hosting, maintenance, infrastructure expenses, credentials, incident response, and ongoing operation.
The license itself does not automatically establish a service-level agreement, maintenance contract, hosting contract, or technical support commitment between FatLeon and the purchaser or end client.
Any additional services or operational obligations must be established separately where required.
10. Agency Client Handoff
An Agency License permits the purchaser to hand over an authorized store project to the relevant end client, subject to the limitations of the applicable license file.
The handoff is limited to the specific store project being delivered. It does not grant the client a new, independent, unrestricted license to FatLeon Commerce.
The client's permission to use the transferred source code for that store is limited and derives from the authorization granted under the Agency License and the applicable handoff provisions. It is not a transfer of ownership of the underlying FatLeon source code.
The client may use authorized maintainers to operate, maintain, and modify the relevant store, subject to the applicable license restrictions.
Such maintainers must be engaged for the authorized store and must not use their access as a basis for distributing the source code, creating unrelated stores, or developing an unauthorized competing product.
A client receiving a project may not extract the transferred source code and use it to establish unrelated stores that fall outside the authorized handoff.
Similarly, the handoff does not authorize the client to resell the source code, sublicense it to unrelated parties, publish it in a public repository, or make it available as a general-purpose template or starter product.
The Agency purchaser and the end client should separately document their commercial relationship, including fees, delivery milestones, ownership of separately developed custom code, support obligations, hosting arrangements, and ongoing maintenance responsibilities.
The commercial agreement between the Agency purchaser and its client is separate from the FatLeon Commerce license.
Any promises made by an agency to its client do not automatically become obligations of FatLeon unless expressly accepted by FatLeon in a separate written agreement.
11. Intellectual Property and Ownership
FatLeon Commerce and the proprietary materials supplied with it remain subject to the intellectual property rights held by the relevant rights holder.
Purchasing a license grants specified permission to use the software. It does not constitute a sale or assignment of the underlying source code, copyright, trademark rights, proprietary software structure, or other intellectual property rights.
Except for the rights expressly granted under the applicable license, the purchaser receives no additional ownership rights by virtue of paying the purchase price.
The purchaser may retain ownership of independently created materials to the extent permitted by applicable law and any separate agreements governing those materials. However, that ownership does not automatically grant the right to distribute or exploit the underlying FatLeon Commerce source code outside the license scope.
Where a purchaser modifies the source code, the applicable rights in the original software remain subject to the license. The creation of customizations, extensions, integrations, or derivative works does not automatically convert the proprietary product into open-source software.
Nothing in these Terms grants permission to remove or misrepresent applicable proprietary notices, licensing information, or other rights notices where their retention is required by the applicable license.
Purchasers must not make claims of ownership over FatLeon Commerce itself merely because they have purchased, modified, deployed, or maintained a licensed copy.
12. Prohibited Activities
The following activities are prohibited unless expressly authorized in a separate written agreement by the relevant rights holder.
12.1 Resale and Redistribution
You may not resell, sublicense, publish, redistribute, or otherwise provide the FatLeon Commerce source code as a standalone product or as part of an unauthorized distribution arrangement.
This prohibition includes distributing the source code as a general-purpose template, starter kit, boilerplate package, downloadable source bundle, or competing commercial product.
It also includes making the source code available in a manner that allows recipients to obtain a substantially equivalent copy without obtaining the required authorization.
12.2 Public Repositories and Unauthorized File Sharing
You may not place the proprietary source code in a public repository, public file-sharing service, publicly accessible archive, or other location where unauthorized individuals can obtain or inspect it.
A private repository is permitted within the scope of the license, provided that access remains appropriately restricted.
Purchasers are responsible for configuring repository permissions, sharing settings, access tokens, deployment artifacts, and other relevant technical controls so that proprietary materials are not unintentionally exposed.
12.3 Competing Products and Unauthorized Commercial Distribution
You may not use FatLeon Commerce as a basis for creating, distributing, or commercializing an unauthorized competing product that reproduces or makes available substantially the same proprietary software.
This includes offering the source code, or a substantially equivalent packaged version of it, as a competing downloadable product or as part of an unauthorized software distribution business.
The restriction applies regardless of whether the source code has been renamed, reorganized, modified, or combined with additional components.
12.4 Multi-Tenant SaaS and Site Builder Services
You may not use a FatLeon Commerce license to operate a multi-tenant SaaS platform, site builder, or comparable service that distributes or provides substantially the same product to multiple independent users without the separate licenses or written authorization required for that arrangement.
The fact that a platform is hosted centrally, accessed through a browser, or offered as a managed service does not automatically exempt it from the applicable licensing restrictions.
Any business model involving the provision of substantially the same product to multiple independent customers must be evaluated against the applicable license and any additional authorization requirements.
12.5 Unauthorized License Transfers
You may not assign, transfer, sell, or otherwise transfer the license itself to another person or legal entity without prior written consent.
The permitted handoff of an individual store project under an Agency License is subject to the specific handoff provisions and does not create a general right to transfer the license itself.
12.6 Circumvention of License Restrictions
You may not use technical modifications, contractual arrangements, organizational structures, or third-party intermediaries to evade the restrictions in the applicable license.
A prohibited activity does not become permitted merely because it is carried out through a contractor, affiliate, subsidiary, customer, or other intermediary.
These restrictions should be interpreted consistently with the scope of the license and applicable law. They do not prohibit activities that are expressly authorized by the applicable license or that cannot lawfully be restricted.
13. Security and Confidentiality of Source Code
Purchasers must take reasonable steps to prevent unauthorized access to proprietary source code.
Such steps may include restricting repository access, protecting credentials, reviewing third-party integrations, limiting file-sharing permissions, and ensuring that contractors and other authorized contributors understand the applicable confidentiality and usage restrictions.
Purchasers should avoid including proprietary source code in public bug reports, public support forums, public AI prompts, or other publicly accessible materials where the source code would be disclosed to unauthorized persons.
The use of third-party development tools, code hosting services, AI systems, and collaboration platforms remains subject to the purchaser's own arrangements with those providers and the relevant privacy, confidentiality, and security obligations.
A purchaser's authorization to use AI tools does not constitute permission to publish the source code or make it available to an unrestricted audience.
Where a security incident or accidental disclosure occurs, the purchaser should take reasonable steps to restrict further access and address the exposure.
Nothing in this section creates an absolute guarantee that a particular security measure will prevent all unauthorized access. Purchasers remain responsible for managing the security of the environments and systems under their control.
14. Third-Party Components and External Services
FatLeon Commerce may interact with external infrastructure, development tools, libraries, APIs, hosting providers, payment systems, or other third-party services, depending on the implementation.
Any third-party component included in or used alongside the software may be subject to its own license, terms of service, privacy policy, technical limitations, or usage restrictions.
The FatLeon Commerce license does not automatically grant rights to third-party services or materials beyond those rights that the relevant provider or rights holder permits.
Purchasers are responsible for reviewing any applicable third-party requirements that relate to their own deployment and use.
Similarly, a purchaser's use of AWS or another hosting provider is subject to the relevant provider's account terms, billing rules, service limits, and operational policies.
The purchaser must ensure that its deployment complies with applicable third-party obligations and that any required accounts, subscriptions, credentials, or permissions are properly maintained.
FatLeon does not assume responsibility for the independent operation, availability, pricing, policy changes, or service interruptions of third-party providers except to the extent otherwise required by applicable law or expressly agreed in writing.
15. Purchaser and Client Responsibilities
Purchasers are responsible for determining whether their intended use falls within the scope of the purchased license.
Before deploying the source code, purchasers should review the relevant product documentation, confirm the license SKU, evaluate the intended hosting arrangement, and determine whether their proposed store structure is authorized.
For Agency License projects, the purchaser should ensure that the end client understands the limited nature of the project handoff and the restrictions applicable to the transferred source code.
Purchasers should also ensure that employees, contractors, consultants, and other authorized contributors receive only the access necessary to perform their assigned work.
Where a purchaser is uncertain whether a proposed activity is permitted, the purchaser should seek written clarification from FatLeon before proceeding.
A purchaser may not treat the absence of a specific example in this summary as permission to carry out an activity that is otherwise prohibited by the applicable license file.
Likewise, FatLeon's provision of general information or informal technical guidance does not automatically amend the purchased license or grant additional intellectual property rights.
Any change to the license scope must be authorized in accordance with the applicable license documentation and, where required, confirmed in writing by the relevant rights holder.
16. License Violations and Termination
A license may be terminated in accordance with the applicable license documentation if the purchaser commits a material breach of its terms.
Where a material breach can reasonably be remedied, the applicable license provides for notice and a fourteen (14) day period to cure the breach.
The notice should identify the relevant breach with sufficient detail to enable the purchaser to understand the issue and, where possible, take corrective action.
If the breach is remedied within the applicable cure period and in accordance with the license requirements, the consequences of the breach will be determined under the applicable license documentation and governing law.
Where a material breach cannot reasonably be remedied, the license may be terminated immediately in accordance with the applicable license. An example may include publicly publishing proprietary source code in a manner that irreversibly exposes it to unauthorized persons, although the specific circumstances and applicable legal requirements must be considered.
The termination of a license does not automatically erase obligations that accrued before termination or rights that survive under the applicable license and governing law.
The purchaser must comply with any post-termination requirements specified in the applicable license file.
Termination is not intended to operate as an automatic waiver of any mandatory legal rights or remedies that cannot lawfully be excluded.
17. Consequences of License Termination
Following termination of a license, the purchaser may no longer initiate new stores using the terminated license.
Subject to the applicable license documentation, existing stores that were already live before termination may continue to operate. The purchaser or the relevant authorized operator may maintain those stores and retain appropriate backups for their continued operation.
This limited continued operation does not reinstate the terminated license for new projects and does not authorize the purchaser to establish unrelated stores or develop a competing product using the source code.
Existing stores may be maintained only within the scope of the permissions that survive termination under the applicable license.
The purchaser may not use an existing deployment as a source from which to extract or repurpose proprietary materials for a new, unrelated store or competing commercial product.
Where a store is operated by an end client under an Agency License handoff, the rights and responsibilities following termination must be determined in accordance with the applicable license file, the handoff provisions, and any mandatory legal requirements.
Purchasers and clients should maintain appropriate records of authorized projects, deployments, and license information so that their respective rights and operational responsibilities can be identified if a dispute arises.
18. Refunds and Cancellation
Purchases of FatLeon Commerce licenses are subject to the Refund Policy published on the Website.
The Refund Policy describes the applicable refund period, the procedure for submitting a request, and the role of Paddle in administering refunds.
You can review the policy here:
https://fatleon.com/post/return-policy
Paddle acts as the merchant of record and handles the applicable payment and refund process in accordance with its procedures and requirements.
Purchasers should retain their transaction receipt and submit any refund request within the applicable period.
The purchase of a perpetual license does not, by itself, eliminate any refund rights available under the published Refund Policy or applicable mandatory consumer protection law.
Conversely, a refund request does not automatically grant additional license rights or authorize use of the source code beyond what is permitted under the applicable license.
Nothing in these Terms is intended to restrict a cancellation, refund, or other remedy that must be available under applicable law.
19. Privacy and Transaction Information
Information relating to Website use, purchases, customer inquiries, and transactions is handled in accordance with the applicable Privacy Policy and relevant legal requirements.
Paddle processes transaction information in connection with its role as merchant of record, subject to its applicable terms and privacy practices.
For further information about FatLeon's privacy practices, please review:
https://fatleon.com/post/privacy-policy
Purchasers should use the transaction details shown in their Paddle receipt when contacting support about a purchase or license issue.
Please avoid sending passwords, payment card security codes, or other unnecessary sensitive information when requesting assistance.
The handling of personal information by third-party providers is also subject to their applicable policies and legal obligations.
20. Disclaimer of Warranties
The software is licensed for use within the scope expressly provided by the applicable license documentation.
Except for any express commitments made in the applicable purchase terms or license file, and subject to rights that cannot lawfully be excluded or limited, FatLeon does not make an unconditional promise that the software will meet every purchaser's particular business requirements, work in every possible technical environment, or remain compatible with every third-party product or service.
Purchasers should evaluate the available product information and technical requirements before purchase and deployment.
No general statement in this summary should be interpreted as a guarantee of uninterrupted operation, error-free performance, compatibility with every future software version, or availability of a particular feature unless that commitment is expressly made in the applicable documentation.
Where a warranty, statutory guarantee, or other protection is required by applicable law, nothing in this section is intended to exclude or restrict it.
Any additional warranty or service commitment must be established in the applicable license documentation or a separate written agreement.
21. Limitation of Liability
To the extent permitted by applicable law, liability arising from the purchase, licensing, deployment, modification, or use of FatLeon Commerce is governed by the applicable license documentation and any other valid terms governing the relevant transaction.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
Purchasers are responsible for evaluating the suitability of the software for their intended use and for maintaining appropriate backups, deployment procedures, security controls, and operational safeguards.
The use of third-party hosting, development tools, external APIs, and other independent services may introduce risks that are outside the direct control of the software licensor.
Any applicable limitation of liability must be interpreted consistently with the operative license file and the mandatory legal requirements of the relevant jurisdiction.
This section does not create a liability exclusion or limitation beyond what is permitted by the applicable license and governing law.
22. Changes to These Terms
FatLeon may update this summary from time to time to reflect changes in the Website, product information, licensing arrangements, operational procedures, or applicable legal requirements.
An updated version may be published on the Website with a revised date.
The license file supplied with a particular purchase remains the primary reference for the specific license granted under that transaction, subject to applicable law and the terms governing that purchase.
A revision to this summary should not be interpreted as automatically expanding or reducing the rights granted by an existing license where such a change would require a separate agreement or otherwise be restricted by law.
Purchasers are encouraged to review the current product pages and applicable license documentation before making a new purchase or materially changing the way they use the software.
23. Governing Law
These Terms are governed by the laws of the Hong Kong Special Administrative Region, subject to any mandatory consumer protection requirements that cannot lawfully be waived or excluded.
The interpretation and application of the applicable license documentation must be consistent with mandatory legal provisions that apply to the relevant transaction.
Nothing in these Terms is intended to deprive a consumer of a mandatory protection or remedy that must remain available under applicable law.
Where a provision is held to be unenforceable or invalid, the remaining provisions will continue to apply to the extent permitted by law, unless doing so would defeat a mandatory legal requirement or the essential purpose of the relevant agreement.
